CAC intervenes to resolve KPMG legal dispute

The Corporate Affairs Commission has resolved a dispute spanning over 20 years between KPMG Professional Services and KPMG Nigeria.

The News Agency of Nigeria reports that the disagreement had resulted in prolonged litigation and strained corporate relations between the parties involved.

The parties are recognised in practise as KPMG Audit, KPMG Tax Consultants and KPMG Consulting.

The CAC in a statement disclosed that the matter was pending before the Supreme Court of Nigeria under Appeal No: SC/CV/776/2025.

It said a related case was also before the Federal High Court under Suit No: FHC/L/CS/2213/2025.

The commission said the resolution followed statutory intervention by its Registrar-General/CEO, Hussaini Magaji carried out pursuant to powers granted under Section 8 of the Companies and Allied Matters Act, 2020.

“Following engagements convened by the Commission, both parties reached a mutually acceptable settlement.

“They also agreed to withdraw all pending suits and appeals arising from the dispute,” it said.

The CAC reiterated its commitment to a transparent and investor-friendly corporate registry system.

It added that the resolution would strengthen corporate stability and boost investor confidence in Nigeria’s business environment.

The commission noted that the amicable settlement underscores the importance of regulatory dialogue in resolving complex corporate disputes without further recourse to prolonged litigation.

It stated that the development reflects its broader mandate to promote compliance, fairness and stability within Nigeria’s corporate governance framework.

According to the statement, the successful resolution demonstrates the effectiveness of statutory oversight in safeguarding corporate integrity and fostering a conducive business climate.

The commission further expressed optimism that the outcome would serve as a precedent for resolving similar corporate disagreements through lawful and constructive engagement.

It added that the withdrawal of all pending suits would enable both parties to refocus on their professional services and strategic growth within Nigeria’s corporate sector.

The CAC also reaffirmed its readiness to deploy its statutory authority where necessary to ensure adherence to regulatory standards and protect stakeholder interests.
